Soko Live LLC — Terms of Service

By accessing or using the Soko Live platform (including Marketplace, Live Streams, Recorded Streams, Cart, Auctions, and Seller Dashboard), you represent and warrant that:

• You are at least 18 years of age or possess legal capacity under applicable laws in your jurisdiction of residence.
• You have not been previously suspended or removed from Soko Live.
• All registration details and business documentation provided during onboarding are accurate, complete, and up-to-date.

Soko Live operates an international live commerce ecosystem. Merchant and Seller accounts are strictly restricted to entities and individuals registered and operating within the following approved countries:

Registrations from unauthorized jurisdictions will be automatically restricted, blocked, or terminated without liability.

• Authentication Security: Users may authenticate using email credentials or verified third-party OAuth providers (Google, GitHub).
• Mandatory 2FA for Sellers: To safeguard financial transactions, live broadcast keys, and customer data, all Merchant/Seller accounts must enable Two-Factor Authentication (2FA) via TOTP / Authenticator applications prior to listing products or receiving payouts.
• Optional 2FA for Buyers: Buyers are encouraged to enable 2FA for enhanced account protection.
• Account Responsibility: You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.

Merchants must select a recurring monthly subscription package tier upon registration. Subscription fees are pegged to base Ghanaian Cedi (GHS) rates and dynamically converted into the seller's local registration currency at real-time foreign exchange (FX) rates.

Billing & Gateway Options: Monthly recurring subscription fees are charged automatically using integrated payment solutions, including Emergent Gateway and approved Cryptocurrency payment processors. Non-payment of subscription fees may result in tier downgrade or listing suspension.

• Buyer Checkout: All retail and live-stream purchases are processed securely through Soko Live's integrated payment gateways, including the Emergent API and verified digital payment methods.
• Pricing & Taxes: Prices listed on the platform must clearly state applicable sales tax, VAT, customs duties (for cross-border deliveries), and shipping costs.

To ensure consumer protection, dispute resolution, and anti-fraud verification, all merchant sales proceeds are subject to standard platform holding terms:

• 7-Day Settlement Hold: Funds from customer transactions remain in escrow and are eligible for withdrawal exactly seven (7) calendar days following confirmed product delivery or order completion.
• Withdrawal Channels: Approved balances can be disbursed directly via supported Mobile Money accounts or Whitelisted Cryptocurrency wallets.
• Chargebacks & Offsets: Soko Live reserves the right to withhold or offset funds for refunds, fraudulent transactions, or unfulfilled orders.

• Live Broadcast Rules: Sellers conducting live sales must provide truthful product demonstrations, accurate pricing, and genuine stock levels. Deceptive broadcasting or shill bidding during live auctions is strictly prohibited.
• Real-Time Auctions: Live auction bids placed via the Soko Live Auction Engine are legally binding commitments to purchase. Bidders must maintain sufficient funds to settle successful winning bids immediately.
• Prohibited Items: Counterfeit merchandise, illegal substances, hazardous goods, unlicensed financial instruments, and adult-oriented products are strictly banned.

Merchants agree to adhere strictly to Soko Live standard delivery service level agreements (SLAs):

• Accra Metro: 1–2 business days (Standard SLA) | Same-day (Express SLA order by 12:00 GMT) — Soko Live branded packaging required.
• Greater Accra & Regional Ghana: 2–5 business days — Tamper-evident sealed packaging.
• International (Platinum Tier Only): 5–14 business days — Customs export documentation compliant.
• KPI Performance Thresholds: Merchants must maintain ≥95% fulfillment rate, ≥90% on-time dispatch, ≤5% return rate, and ≥4.0/5.0 customer satisfaction score.

All intellectual property rights in the Soko Live platform, branding, streaming infrastructure, and proprietary auction software belong solely to Soko Live LLC. By uploading listings, images, logos, and video broadcasts, merchants grant Soko Live LLC a worldwide, non-exclusive, royalty-free license to host, display, promote, and market the content across digital channels.

• Platform As-Is: Soko Live provides the live commerce infrastructure on an "as-is" and "as-available" basis without warranties of uninterrupted uptime.
• Liability Cap: Soko Live LLC's total aggregate liability arising out of or related to platform use shall not exceed the total fees paid by the user to Soko Live during the three (3) months preceding the claim.
• Governing Law: These Terms shall be governed by and construed in accordance with applicable commercial laws. Any dispute shall be submitted to binding arbitration before formal court litigation.

Soko Live LLC reserves the right to modify or replace these Terms at any time. Continued use of the platform following the posting of any changes constitutes acceptance of the new Terms.
